Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Unheadless (Kingery Web Development Corp) ("Unheadless," "we," "us," or "our").

By creating an account, accessing, or using the Unheadless platform at app.unheadless.com (the "Service"), you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Cookie Policy. If you do not agree to these Terms, do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

2. Description of Service

Unheadless is a read-only content reporting and inventory platform for headless CMS teams. The Service allows you to:

  • Connect your headless CMS repositories via CMS API keys
  • Query, filter, and explore your CMS content inventory
  • Generate and export content reports
  • Schedule automated recurring reports delivered via email
  • Manage team members and organizational access

Unheadless is strictly a read-only tool. The Service does not write, edit, publish, or delete any content within your connected CMS. All CMS data access is performed using the API credentials you provide.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activity that occurs under your account. Unheadless is not liable for any loss or damage arising from unauthorized access to your account.

4. Subscription Plans & Billing

4.1 Plans

The Service is offered under the following subscription tiers:

  • Free — Limited features and usage caps at no cost
  • Pro — $99 per month, with expanded limits and features
  • Enterprise — $499 per month, with advanced features including SSO, higher limits, and priority support

Detailed feature comparisons and current pricing are available at unheadless.com. Add-on capacity (additional users, reports, or CMS connections) may be purchased at published rates.

4.2 Free Trial

New accounts receive a 7-day free trial of Pro features. No credit card is required to start a trial. At the end of the trial period, your account will automatically transition to the Free tier unless you subscribe to a paid plan.

4.3 Billing

Paid subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

4.4 Price Changes

We may adjust pricing with at least 30 days' written notice sent to the email address associated with your account. Price changes take effect at the start of your next billing cycle following the notice period.

5. Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting support@unheadless.com. Upon cancellation:

  • Your access to paid features continues through the end of your current billing period
  • No prorated refunds are issued for partial billing periods
  • Your account data is permanently deleted upon cancellation
  • You may export your data at any time before cancellation through the Service or by contacting support

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. Prohibited uses include, but are not limited to:

  • Automated scraping or abuse of the Unheadless platform
  • Circumventing subscription tier limits or rate limits
  • Attempting to access other organizations' data
  • Using the Service for any unlawful purpose
  • Reselling or redistributing the Service without authorization

7. Intellectual Property

7.1 Our Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the exclusive property of Unheadless and is protected by intellectual property laws. These Terms grant you no rights to our trademarks, service marks, or brand assets.

7.2 Your Data

You retain full ownership of your CMS data and any content accessed through the Service. Reports, exports, and query results generated by the Service using your data are your property. Unheadless claims no ownership interest in your data.

7.3 License to Operate

By connecting your CMS and using the Service, you grant Unheadless a limited, non-exclusive, revocable license to access and process your CMS data solely for the purpose of providing the Service to you. This license terminates when you disconnect your CMS or cancel your account.

8. Data & Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy.

With respect to CMS data: Unheadless accesses your CMS content through API keys that you provide. While some CMS API keys may carry write permissions, Unheadless uses all keys solely for read operations — no write functions are ever executed. We store content metadata for the duration of your active subscription to power queries, reports, and content inventory features. We do not store full content body data (e.g., rich text slices), sell your data, or share it with third parties except as necessary to provide the Service (as detailed in our Privacy Policy).

9. Third-Party Services

The Service integrates with third-party CMS platforms (currently Prismic) and relies on third-party infrastructure providers. While we select our providers carefully:

  • We are not responsible for the availability, accuracy, or performance of third-party CMS platforms
  • Your use of connected CMS platforms is governed by your separate agreement with those providers
  • Outages or changes to third-party APIs may temporarily affect Service functionality

10. Service Availability

We use commercially reasonable efforts to maintain high availability of the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with reasonable advance notice when possible)
  • Emergency security patches
  • Circumstances beyond our reasonable control

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Unheadless's total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to Unheadless during the twelve (12) months immediately preceding the event giving rise to the claim
  • In no event shall Unheadless be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability
  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement

12. Indemnification

You agree to indemnify, defend, and hold harmless Unheadless, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your CMS data or content accessed through the Service
  • Your violation of these Terms or any applicable law
  • Your infringement of any third-party rights

13. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach these Terms or the Acceptable Use Policy
  • Your account is involved in fraudulent or illegal activity
  • Required by law or a valid legal order
  • Your subscription payment fails and remains unresolved

You may terminate your account at any time by canceling your subscription and contacting support@unheadless.com. Sections 7, 11, 12, 15, and 16 survive termination of these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via the email address associated with your account before the changes take effect.

Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. Contact privacy@unheadless.com to initiate this process.

16.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.

17. General Provisions

  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Unheadless regarding the Service.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Unheadless may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Unheadless shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or internet infrastructure failures.
